1. INTRODUCTION AND ACCEPTANCE
1.1 These GoCodes MCP Server Beta Program Terms and Conditions (this “Beta Addendum”) govern access to and use of the GoCodes Model Context Protocol server and any related pre-release tools, endpoints, connectors, or documentation made available by GoCodes (“GoCodes,” “we,” “us,” or “our”) as part of a beta, preview, early access, or pilot program (the “Beta Program,” and the software and services made available through it, the “Beta Software”).
1.2 This Beta Addendum supplements and is incorporated into the GoCodes Terms of Service / End User License Agreement between you (“Customer,” “you,” or “your”) and GoCodes (the “Master Agreement”). Capitalized terms not defined here have the meaning given in the Master Agreement. If there is a conflict between this Beta Addendum and the Master Agreement with respect to the Beta Software, this Beta Addendum controls.
1.3 By enabling, accessing, installing, or using the Beta Software, you accept this Beta Addendum on behalf of yourself and, if applicable, the organization you represent. If you do not agree to these terms, do not access or use the Beta Software.
2. NATURE OF THE BETA PROGRAM
2.1 The Beta Software is a pre-release, experimental offering provided for evaluation and feedback purposes only. It is not a generally available, production-certified GoCodes product.
2.2 The Beta Software may be incomplete, may contain errors, bugs, or inaccuracies, may not function as intended, and is subject to change, suspension, or discontinuation, in whole or in part, at any time and without notice or liability.
2.3 GoCodes may modify, add, or remove features of the Beta Software, or end the Beta Program entirely, at its sole discretion and at any time.
2.4 Participation in the Beta Program does not guarantee that the Beta Software, or any feature of it, will be released as a generally available product, or that its functionality, pricing, or availability at general release will match the beta version.
2.5 While the Beta Program is intended to result in a fully released, generally available capability, GoCodes reserves the right to end the Beta Program at any time, for any reason or no reason, as to one, some, or all customers, without liability.
2.6 GoCodes expects to add, modify, or remove features of the Beta Software at any time, for any reason or no reason, including removing features entirely, without any prior notice or communication. This applies to all aspects of the Beta Program described in this Beta Addendum, including the support, service level, update, and data provisions in Sections 3, 4, and 5 below.
3. SUPPORT
3.1 Customer support for the Beta Software, if any, is provided on a limited, reasonable, and commercially reasonable “best efforts” basis only. GoCodes does not guarantee any specific level of support, response time, resolution time, or availability of support personnel for issues related to the Beta Software.
3.2 GoCodes may prioritize, defer, decline to address, or close support requests related to the Beta Software at its sole discretion, and may modify or discontinue support channels for the Beta Program at any time without notice.
3.3 Standard support commitments (if any) that apply to GoCodes’ generally available products do not extend to the Beta Software unless GoCodes expressly states otherwise in writing.
4. NO SERVICE LEVEL OR UPDATE COMMITMENTS
4.1 GoCodes makes no representations, warranties, or commitments of any kind regarding the availability, uptime, performance, reliability, response time, or continuity of the Beta Software. No service level agreement (“SLA”) applies to the Beta Software, whether under the Master Agreement or otherwise.
4.2 GoCodes makes no representations or commitments regarding the frequency, timing, content, or delivery of any updates, patches, bug fixes, security fixes, or enhancements to the Beta Software. Updates may be delayed, incomplete, or never delivered, at GoCodes’ sole discretion.
4.3 The Beta Software may be interrupted, degraded, or made unavailable for maintenance, testing, or any other reason, at any time and without advance notice.
5. DATA; CUSTOMER RESPONSIBILITY FOR DATA LOSS
5.1 Customer is solely responsible for maintaining independent, current backups of any data used with, processed by, entered into, or connected to the Beta Software.
5.2 GoCodes makes no representations or warranties regarding the integrity, accuracy, security, or persistence of any data used in connection with the Beta Software, and GoCodes does not guarantee that data will not be lost, corrupted, deleted, altered, or exposed as a result of using the Beta Software.
5.3 Any corruption, loss, deletion, alteration, or unauthorized disclosure of data arising from or related to use of the Beta Software is the sole responsibility of Customer. GoCodes shall have no liability of any kind for such data corruption or loss, except to the extent caused by GoCodes’ gross negligence or willful misconduct.
5.4 GoCodes strongly recommends that Customer not use the Beta Software with production-critical, sensitive, or irreplaceable data, and that Customer maintain full, current backups independent of GoCodes before and during any use of the Beta Software.
6. DISCLAIMER OF WARRANTIES; USE AT YOUR OWN RISK
6.1 THE BETA SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOCODES DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
6.2 GOCODES DOES NOT WARRANT THAT THE BETA SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
6.3 CUSTOMER ACKNOWLEDGES AND AGREES THAT USE OF THE BETA SOFTWARE IS ENTIRELY VOLUNTARY AND AT CUSTOMER’S SOLE RISK. CUSTOMER IS SOLELY RESPONSIBLE FOR EVALUATING WHETHER THE BETA SOFTWARE IS SUITABLE FOR CUSTOMER’S INTENDED USE, INCLUDING ANY INTEGRATION WITH PRODUCTION SYSTEMS OR WORKFLOWS.
7. LIMITATION OF LIABILITY
7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOCODES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS, ARISING OUT OF OR RELATED TO CUSTOMER’S USE OF, OR INABILITY TO USE, THE BETA SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF GOCODES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 GOCODES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE BETA SOFTWARE SHALL NOT EXCEED, AT GOCODES’ ELECTION, EITHER (A) ZERO DOLLARS ($0), IF THE BETA SOFTWARE IS PROVIDED FREE OF CHARGE, OR (B) THE TOTAL FEES, IF ANY, ACTUALLY PAID BY CUSTOMER TO GOCODES SPECIFICALLY FOR ACCESS TO THE BETA SOFTWARE DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 The limitations in this Section 7 apply in addition to, and do not replace, any limitation of liability set forth in the Master Agreement, and are intended to apply to the fullest extent permitted by law.
8. FEEDBACK
8.1 If Customer provides GoCodes with comments, suggestions, bug reports, or other feedback regarding the Beta Software (“Feedback”), Customer grants GoCodes a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and otherwise exploit that Feedback for any purpose, including improving GoCodes’ products, without any obligation or compensation to Customer.
9. CONFIDENTIALITY
9.1 The existence of the Beta Program, the Beta Software itself, and any non-public information about the Beta Software’s features, performance, or roadmap are GoCodes’ confidential information and are subject to the confidentiality obligations in the Master Agreement, unless GoCodes has publicly announced the relevant feature.
10. TERM; TERMINATION; SUSPENSION
10.1 Customer’s participation in the Beta Program continues until the earlier of: (a) general availability or discontinuation of the Beta Software, (b) termination of the Master Agreement, or (c) termination of Customer’s Beta Program access by either party at any time, for any reason or no reason.
10.2 GoCodes may suspend or terminate Customer’s access to the Beta Software at any time, with or without notice, including for beta capacity management, security concerns, or discontinuation of the Beta Program.
10.3 Sections 5 through 9 of this Beta Addendum survive termination or expiration of Customer’s participation in the Beta Program.
11. GOVERNING LAW
11.1 This Beta Addendum is governed by the laws of the State of Minnesota, without regard to its conflict of laws principles, consistent with the governing law provision of the Master Agreement. Any dispute arising out of or related to this Beta Addendum or the Beta Software shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Minnesota, and the parties consent to personal jurisdiction in those courts.
12. MISCELLANEOUS
12.1 This Beta Addendum, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the Beta Software and supersedes any prior or contemporaneous understandings regarding the Beta Program.
12.2 If any provision of this Beta Addendum is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
12.3 GoCodes’ failure to enforce any provision of this Beta Addendum is not a waiver of that provision or any other provision.
12.4 GoCodes may update this Beta Addendum from time to time by posting a revised version; continued use of the Beta Software after such changes constitutes acceptance of the revised terms.
